Website Centre Limited Conditions of Business
Web Sites and Internet Products
all orders placed with Website Centre Limited are accepted subject to the following conditions, which shall form the basis of the contract between Website Centre Limited and the customer. The placing of an order implies the acceptance of the Conditions of Business herein stated, and these Conditions are paramount to any proposed by the customer, which insofar as they are contradictory to these present, are hereby excluded. These terms and conditions supersede those published by any means previously.
- Quotations: - Quotations are For prompt acceptance and undeferred execution, and in any CASE are never valid For more than 30 days. Clerical error and omissions are subject to correction, and Website Centre Limited does not bind itself to accept the order should such corrections result in dispute with the customer.
- Terms: - A period of 30 days from date of invoice / statement is allowed For payment in respect of approved credit accounts. Clients should take note that Website Centre Limited CLOSE accounts on the LAST calendar DAY of each MONTH. all other work is accepted on the basis of 50%, non-returnable deposit, remaining balance payable upon completion.
- Overdue Accounts: - Interest at 1% per MONTH or part-MONTH may be levied on overdue accounts.
- Additional work / Alterations: - any additional work over and above that specified in the Quotation, or differing from original instructions will result in increased charges. Website Centre Limited shall inform you of these charges before commencing with any additional work.
- Lien:- Customers’ property including all completed work is held subject to a general lien, with the power to enforce by private or PUBLIC sale, and / or termination or withdrawal of service provided (as appropriate) without notice to the client.
- Deliveries:- Should delivery be required in less than the normal time requisite For it’s proper production within the standard capacity of Website Centre’s facilities and normal working hours, an extra charge will be made commensurate with any overtime worked, or extra labour or equipment contracted, in order to expedite such delivery. Unless FULL written agreement is received PRIor to acceptance of the order, Website Centre Limited will not be liable For any costs or penalties, nor be obliged to give any discount, should delivery of a completed order be past the estimated delivery date.
- Claims: - any complaint must be made within 30 days of completion and / or delivery of work to the client, beyond which period no claim will be entertained.
- Indemnity: - Whist every care and precaution is taken to prevent loss or damage to customer’s material entrusted to Website Centre. no liability, immediate or consequential, is accepted should such loss or damage occur. Customers are encouraged to arrange their own insurance in this regard.
- Creative Elements: - Specially designed images and technical aspects relating to the content of the contractual work is maintained in computer storage, and remains the sole property of Website Centre, who give no guarantee that it will be available at any future time For re-use. Website Centre Limited undertakes however, to take all reasonable precautions to ensure safe storage of such material For at least 3 years.
- Acceptance of work: - Customers are required to accept delivery of work immediately upon completion unless PRIor arrangements to the contrary are made. Delayed Delivery Charges at a rate of 1% of contract VALUE per MONTH or part MONTH, may be levied on completed work not collected or unaccepted delivery of, after 7 days from notification of such completion.
- Consequential Damage: - Website Centre Limited accepts no liability whatsoever relating to any direct or consequential damage of any nature relating to the goods provided or the effectiveness or fitness For purpose of the final product.
- Quality of work: - Website Centre Limited will not be responsible For the accuracy of any material, logo, copy or design provided by the customer as origination material or proofs. in any event, all work will be subject to client approval PRIor to finalisation of the contracted work.

1. Application of the General Terms and Conditions of Sale - E Electronics Goods
The General Terms and Conditions of Sale outlined below (hereafter known as "General Conditions"), govern the contractual relationship between any user of the websitecentre.co.uk website and the company Wesbite Centre Ltd, , 4 Kennerley Road, Stockport, Cheshire SK2 6EY. Registered in England Number 4432064 (hereafter known as "Website Centre "). These general terms and conditions shall be the only ones applicable and replace all other conditions, except in the case of express written consent. Website Centre may be occasionally obliged to modify certain provisions of its general conditions. It is therefore necessary to re-read the said conditions before each purchase on the Website Centre.com site. We consider that in submitting your order, you have read and accepted our general conditions of sale without reserve.
Any order by the Client implies a tacit acceptance of the present General Conditions of Sale and without reserve. Any clause accompanying a Client’s order or any other document (such as the General Conditions of Purchase by the Client), that is in opposition to, or which adds a new element to the present General Conditions, will not be accepted by Website Centre.

2. Prices and Discounts
The products sold by Website Centre are billed in GBP with VAT, at the price quoted on the day of the registration of the order by Website Centre. It does not include delivery charges, under the condition that the delivery is not prolonged by the Client. Website Centre reserves the right to modify its price at any time and in compliance with current laws.

4. Availability of products
Our products are offered while supplies last. The information on the availability of products comes directly from our suppliers and is provided to you at the moment an order is put through. We cannot be held responsible for any error or exceptional modification.
In the event that a product is not available after you have placed an order, we will inform you by email as quickly as possible so that you may cancel your order is said order is over 15 business days late.

5. Forwarding – Delivery – Delivery Charges
Website Centre decides on the mode of delivery except where if specially indicated by the client. The risks associated with delivery are the responsibility of the client.
For any order less than £100 , the invoice will be billed for an administration fee of £7 for UK.
The Client must, as of reception, inspect the parcels within the legal timeframe. Please note, conditions such as "acceptance conditional upon verification" or "acceptance conditional upon opening of wrapping” have no legal value with insurers or with transporters.
It is the Client’s responsibility to provide proof of missing or broken articles.
Website Centre will strive to respect the stated delivery times, but cannot be held liable for interest and damages because of late delivery and cannot accept the cancellation of an order on that basis. An order made for articles not in stock may be the object of a longer period of delay or a cancellation.

6. Waste Electrical and Electronic Equipment (WEEE)
The Waste Electrical and Electronic Equipment Directive (WEEE Directive) aims to minimise the impact of electrical and electronic goods on the environment, by increasing re-use and recycling and reducing the amount of WEEE going to landfill. When you purchase from us we will recycle and dispose of your old electrical appliance for free. If you want us to do this simply take your old product in to a Currys store. 7. Claims
If the products received do not conform to the invoice, the Client must advise Website Centre immediately, or at the latest three days beginning with the date the order was received. A copy of the invoice must be attached to the Client’s claim. Any claim based on the quality of a product must be accompanied by a specimen of said product containing the flaw as well as a sample still in its original packaging with the appropriate reference numbers for identification.
No claims will be processed that do not adhere to the above conditions.

8. Returns
The products can only be returned after written authorisation from Website Centre. Returned products must be addressed to Website Centre with delivery paid for. The returned products must be in perfect conditions, carefully packaged and without any sort of modification with respect to reference and series numbers. They must have their labels intact, along with their stamps or marks permitting their resale. In the event of non-authorised or non-conforming return of goods, the merchandise will systematically be returned to the Client at this expense.

9. Guarantees
Products sold by Website Centre benefit from a guarantee of conformity for one year as of the date of delivery for the goods sold. (Community directive n°99/44/EC dated May 25, 1999, relative to certain aspects of sales and guarantees for consumed goods)
Return costs incurred during transit are to be covered by the customer.
The costs arising due to the return of the goods will be refunded if the guarantee of conformity is applicable to the returned goods.
The product should be returned by the national postal service. No parcel should be sent to the Fotovista/ Website Centre head office.
When your product is returned, Website Centre will take care of ensuring that it is repaired or replaced. Any returned product must be accompanied by a copy of your invoice, the guarantee certificate (in the box) and a returns coupon.
The guarantee does not apply when malfunctioning results from damage caused by exterior elements, accidents (notably electrical, physical damage, misuse etc.) any actions that are against the advice and instructions given in the product manual.
The guarantee conditions also exclude all products that have been modified or repaired by the customer or a non-authorised repair centre.
In case where the warranty is not applicable for the reparation, the manufacturer will quote a price for repair.
The guarantee for products sold by Website Centre does not cover:
-the replacement of consumables (batteries, lights, fuses, aerials, headphones, microphones, recording heads or playing heading ...)
-the irregular usage or non-conforming usage of products. Please consult the instruction manual delivered with your product.
-malfunctioning due to usage with accessories (power cables etc)
-malfunctioning due to repairs effected by non-authorized personnel
- malfunctioning due to external causes
- malfunctioning due to non-conforming usage of the product (professional usage, collective usage etc)
Website Centre cannot be held responsible for the warranty should the manufacturer not honour the guarantee.
The manufacturer will request administration fees, if the payment for the quotation is refused. In case of approval, a bank transfer in the amount of the quotation must be sent to Website Centre.

10. Publicity and Display goods
Publicity and/or display material (catalogues, posters etc) may be given to Clients for their business usage, and only for use at the addresses authorised by Website Centre for the sale of its products.
The Client cannot represent himself as an agent of Website Centre, as this would imply that he is acting on behalf of, or under the authorisation of Website Centre’s management. The terms "Website Centre agent", "Website Centre dealer" or "Website Centre Shop" must be used in such a way that a third party will not be led to believe that Website Centre has an interest or responsibility in the Client’s business. The brand "Website Centre" or "Website Centre.com" cannot be used without the express written consent of Website Centre.
Clients who wish to engage in publicity must first consult with the appropriate Website Centre department to first receive its approval.

11. Trademarks
Trademarks distributed by Website Centre are protected by current laws and international conventions.
As a consequence, neither Clients nor third parties can use trademarks without the express written consent of the trademark holder. It is understood and agreed that the acceptance of the present General Conditions is not in any way such an authorisation.

12. Insurance
To cover the risk of loss, of theft or other damages in transport that some of the products may be subject to, each party shall make provisions to cover such losses with its own insurance company.

13. Liability limits
No liability will be accepted for loss or damages, direct or indirect, whatever the cause.
In no case will the Client, for any reason, withhold funds from an invoice for an incomplete delivery or for defective goods.

14. Ownership of Property
Website Centre remains the owner of the merchandise delivered until the payment is made in full. A promise of payment is not considered full payment until said payment has actually been processed.
Any damage caused while in the possession of the client, should said client not have paid in full, is his responsibility.
Should the Client deliver merchandise to a third party that has not been paid for, he is advised to immediately inform Website Centre.

15. Cancellation of Sale
In the case of non-payment of a delivery after the deadline, the sale shall be considered void eight days after notification by registered letter with proof of reception. Website Centre will claim the concerned merchandise without delay, with all associated fees and risks being the responsibility of the Client. Returning said merchandise does not negate the possibility of interest and damages.

16. Late penalties
In accordance with current law, any sums paid after the due date of the invoice as per article 3 of the present document, will be subject to late fees. These fees will be calculated at one and a half times the bank rate and will be applied retroactively to the date of delivery of the products.

17. In the event of default
Should payment not have been made in full as of the stated deadline, all outstanding sums, regardless of deadline, will be requested immediately.

18. Applicable law – Attribution of jurisdiction
In the event of a failure to amicably resolve payment, all litigation involving Website Centre and its Clients will be settled exclusively in the Courts of Manchester with the applicable law being English law. Certain products sold fall under the domain of strategic merchandise and cannot be exported without express written consent from Website Centre.

has been granted the RIGHT to provide Internet domain registration services For SECOND-level domain NAMES within the .com, .org, .net, .co.uk, .org.uk, .ltd.uk and .plc.uk top-level domains.
ICANN oversees the .com, .org and .net top-level domains. Nominet oversees the .co.uk, .org.uk, .ltd.uk and .plc.uk top-level domains.
Upon

's receipt of domain name registration information from you,
Website Centre Ltd
shall submit the information to the registry administrator For the appropriate top-level domain For approval and processing. The registry administrator then puts INTO effect the domain name registration. Network Solutions, Inc. currently acts as the registry administrator For the .com, .org, and .net top-level domains. Nominet acts as the registry administrator For the .co.uk, .org.uk, .ltd.uk and .plc.uk top-level domains.
SELECTION of A domain name.
You represent that, to the best of the your knowledge and belief, neither this registration of a domain name nor the manner in which it is directly or indirectly to be used infringes upon the legal rights of a third party and, further, that the domain name is not being registered For nor shall it at any time whatsoever be used For any unlawful purpose whatsoever.
If you are registering your name during the finite period of time when owners of trademarks and service marks issued PRIor to October 2, 2000 and having NATIONAL effect will have the exclusive opportunity to register identical domain NAMES ("Sunrise Period"). You acknowledge and agree that registrations For domain NAMES during the Sunrise Period will only be accepted For a minimum registration term of five (5) years.

all fees must be prepaid and are non-refundable, in whole or in part, even if the domain name registration is suspended, cancelled or transferred PRIor to the END of the registration term.
in the event of a charge back by a credit card company or other payment provider authorized by

, the domain name registration shall be transferred to

as the paying entity For the registration.

may reinstate your domain name registration at its sole discretion upon its receipt of the registration or renewal fee and its then CURRENT reinstatement fee. The reinstatement fee is currently upto £100.
Payment must be made by credit card or other methods we indicate in registration application or renewal form. We will renew your name For you provided your credit card or other billing information is available and up to date. If your billing information is not accurate and you wish to renew your domain name registration, we will contact you to update this information and charge accordingly.
We reserve the RIGHT to make an administration charge of £10 per domain WHERE customers have attempted to register a domain name with multiple registrars.
TERM
This Agreement shall remain in FULL force during the LENGTH of the term of your domain name registration(s) as selected, recorded, and paid For upon registration of the domain name. Should you choose to renew or otherwise lengthen the term of your domain name registration, then the term of this Registration Agreement shall be extended accordingly. Should the domain name be transferred to another Registrar, the terms and conditions of this contract shall cease.
to ensure your domains are not lost we operate a positive renewal system on all our domains - you will be notified in advance that your domain is about to expire and given the option to opt out of the renewal, if of any reason you do not contact us, then we will ensure your registration continues and automatically renew your domain. This is not refundable and it is your responsibility to ensure valid contact and payment details are on your account at all times - failure can lead to suspension.

However, it is your responsibility to check that your renewal has been successful within one MONTH of the renewal date. DISPUTE POLICY
You agree to be bound by the

domain name Dispute Policy (the "Dispute Policy"), as amended from time to time, which is hereby incorporated and made a part of this Agreement by reference. The Dispute Policy can be FOUND at the END of this document.
The Dispute Policy governs any dispute between you and any party other than us over the registration and use of the domain name. The specific disputes which are subject to the Dispute Policy are contained in the Dispute Policy. You agree that you will be subject to the provisions specified in the Dispute Policy in effect at the time the domain name registration is disputed by a third party.
You also agree that in the event a domain name dispute arises with any third party, you shall indemnify and hold

harmless pursuant to the terms and conditions contained in the Dispute Policy.
CHANGES to REGISTRATION AGREEMENT and DISPUTE POLICY

Your continued use of the registered domain name constitutes acceptance of this Agreement and amendments. If at any time, you do not agree to such changes, you agree that your sole remedy is to request that your domain name registration be cancelled or transferred to a different domain name registrar.

Additional Information Maintained About your Registration

(a) the original creation date of the registration;

(c) communications constituting registration orders, modifications, or terminations and related correspondence;
(d) records of account For your domain name registration, including dates and amounts of all payments and refunds;
(e) the IP NAMES and address of the PRIMARY name servers and any secondary name servers;

Obligations Relating to DATA Provided by You
If in registering a domain name you provide information about a third party, you hereby represent that you have provided notice to and have obtained the express consent from the third party to the disclosure and use of the third party's information as set forth in this Agreement.
Disclosure and Use of Registration Information
You agree to authorize

to provide any information to ICANN, the registry administrators and to other third parties as ICANN and applicable laws may require or permit. You acknowledge and agree

may make publicly available, some or all of the domain registration information provided by you, For purposes of inspection such as through

's WHOIS service, For targeted marketing, or For any other purpose as required or permitted by ICANN and applicable laws.
in addition, you acknowledge that ICANN may establish guidelines, limits and requirements that relate to the amount and set of information that
Website Centre Ltd
may or must make available to the PUBLIC or to private entities, and the manner in which such information is made available.
You hereby consent to any and all such disclosures and use of, and guidelines, limits and restrictions on disclosure or use of information and updated from time to time provide in CONNECTION with registration of a domain name, whether during or after term of the registration of the domain name. You hereby irrevocably waive any and claims and causes of action you may have arising from such disclosure or use of the domain name registration information.
You may access your domain name registration information in

's possession to review, modify or update such information, by accessing our domain manager service, or similar service, available at our website at www.websitecentre.co.uk.
We will not process any DATA about any identification NATURAL person that we obtain from you in a way incompatible with the purpose and limitations described in this Agreement. We will take reasonable precautions to protect the information we obtain from you from our loss, misuse, unauthorized access or disclosure, alteration or destruction of that information.
OWNERSHIP of DATA
You agree and acknowledge that

owns the following:
(a) all database, compilation, collective and similar RIGHT, title and interests worldwide in the domain name database;
(b) all information and derivative works generated from the domain name database; and
(c) information For the registrations For which
Website Centre Ltd
acts as the registrar including:
(i) the original creation date of the registration;
(ii) the expiration date of the registration;
(iii) the name, mailing address, email address, telephone number, and fax number of the technical contact, administrative contact, ZONE contact, and billing contact For the domain name;
(iv) remarks concerning the registered domain name that appear or should appear in the WHOIS or similar database; and
(v) other information generated or obtained in CONNECTION with the provision of domain name registration services, other the domain name being registered, and the IP NAMES and addresses of the PRIMARY nameserver and any secondary nameservers.

does not have any ownership interest in your specific personal registration information outside of your RIGHT in our domain name database.
TRANSFER of OWNERSHIP
The person named as administrative contact at the time the USER name and password are secured shall be the owner of the domain name. You agree that PRIor to transferring ownership of your domain name to another person (the Transferee") you shall require the Transferee to agree in writing to be bound by all the terms and conditions of this Agreement. Your domain name will not be transferred until we receive such written assurances or other reasonable assurance that the Transferee has been bound by the contractual terms of this Agreement (such reasonable assurance as determined by us in our sole discretion). If the Transferee fails to be bound in a reasonable fashion (as determine by us in our sole discretion) to the terms and conditions in this Agreement, any such transfer will be NULL and void.

AGENTS and LICENSES
You agree that in the event you register a domain name For another entity, you represent that you have the authority to bind that entity as a principal to all terms and conditions contained in this Agreement.
You acknowledge and agree that if you license the use of your registered domain name to a third party, you remain the domain name holder of record and remain responsible For all obligations under this Agreement, including payment obligations, and providing and updating your FULL contact information, and accurate technical, administrative, billing, and ZONE contact information adequate to facilitate timely Resolution of any problems that arise in CONNECTION with domain name and domain registration.
LIMITATION of LIABILITY
You agree that

shall, under no circumstances, be liable For any special, indirect, incidental, punitive, exemplary, or consequential damages resulting from loss of profits, arising out of or in CONNECTION with this Agreement, even if
Website Centre Ltd
has been advised of the possibility of such damages, and in particular
Website Centre Ltd
will not be liable For the following:
(a) suspension or loss of your domain registration;
(b) use of your domain name registration;
(c) interruption of your business;
(d) access delays or interruptions to any web sites accessed by your registered domain name;
(e) non-delivery, mis-delivery, corruption, destruction, or modification of DATA;
(f) events beyond the reasonable control of

;
(g) processing of an application For domain name registration; or
(h) application of the Dispute Policy.
Website Centre Ltd
shall not, under any circumstances, be liable or responsible For any errors, omissions or other actions by the registry administrator arising out of or related to your application, receipt of, or failure to receive a domain name registration.
Website Centre Ltd
's maximum aggregate liability shall not exceed the greater of:
(a) the total amount paid by you For registration of the domain name; and
(b) £50.00 (UK Pounds).
INDEMNIFICATION of
Website Centre Ltd
You agree to defend, indemnify and hold harmless
Website Centre Ltd
and the registry administrator, including our and its employees, directors, officers, representatives, agents and affiliates, from and against any claim, action, suit, demand, loss, damages, costs ( including reasonable legal fees, expert witness fees and expenses), or other proceeding related to or arising out of the registration or use of the domain name. This indemnification is in addition to any indemnification required under the Dispute Policy.
REPRESENTATIONS and WARRANTIES
You represent and warrant that: (a) all information provided in CONNECTION with your domain name registration is accurate; and
(b) neither the registration of the domain name nor the manner in which it is directly or indirectly used infringes the legal rights of a third party.
You acknowledge and agree that all domain name registration services provided to you by
Website Centre Ltd
are provided on an "as is" basis.
Website Centre Ltd
makes no representations or warranties of any kind, express or implied, in CONNECTION with this Agreement or its domain name registrations services, including but not limited to warranties of merchantability or fitness For a particular purpose.
Website Centre Ltd
makes no representation or warranties of any kind that registrations or use of domain name under this Agreement will immunize you from challenges to the domain name registration or from suspension, cancellation, or transfer of the domain name to you.
BREACH and REVOCATION
Website Centre Ltd
reserves the RIGHT to suspend, cancel, transfer or modify your domain name registration in the event that:
(a) you materially breach this Agreement;
(b) you use your registered domain name to send unsolicited commercial advertisements in contravention of applicable laws or customary acceptable USAGE policies of the Internet;
(c) you use your domain name in CONNECTION with unlawful activity;

You further acknowledge and agree that your domain name registration is subject to suspension, cancellation or transfer by any ICANN PROCEDURE, by any registrar (including

) or registry administrator procedures approved by an ICANN-adopted policy, or by any other country code top-level domain registry administering procedures to correct mistakes by

, another registrar or the registry administrator in administering the name or For the resolution of disputes concerning the domain name.
You also agree that

shall have the RIGHT in its sole discretion to suspend, cancel, transfer or otherwise modify a domain name registration upon seven (7) calendar days PRIor written notice, or at such time as

receives a properly authenticated order from a court of competent jurisdiction, or arbitration award, requiring the suspension, cancellation transfer or modification of the domain name registration.

OTHER TERMS and CONDITIONS
Force Majeure.

shall not be responsible For any failure to provide any service or perform any obligation because of any act of God, strike, work stoppage, governmental acts or directives, war, riot or civil commotion, equipment or facilities shortages which are being experienced by providers of telecommunication services generally, or other similar force beyond its reasonable control.
Non-Waiver. The failure of

to require your performance provision shall not affect the FULL RIGHT to require such performance at any time thereafter; nor shall the waiver by

of a breach of any provision hereof be taken or held to be a waiver of the provision itself.
Survival. Assignment. You shall not assign, sub-license or transfer your rights or obligations under this Agreement to any third party without the PRIor written consent of
